It is a fairly typical Portuguese municipal flag, with the coat of arms centred on a plain yellow field.

The arms are Argent a cross pattee Gules voided (cross of the Christ Knights’ Order) surrounded by two branches of orange Vert fruited Or crossed in base and tied Gules above a rocky ground Sable lined Or charged with a bar wavy Azure fimbriated Argent. Mural crown Argent with four visible towers (town rank) and white scroll reading in black upper case letters "RIBEIRA DE PENA".
Meaning:
The arms are partly canting, for "ribeira de pena" means something like "cliff stream".

Ribeira de Pena municipality had 7412 inhabitants in 2001, and it is divided in seven communes, covering 217,66 km². It belongs to: Vila Real District, traditional province Trás-os-Montes e Alto Douro, 1999 ref. adm. region and C.C.R./NUT2 Centro, and NUT3 Tâmega.
