It is a fairly typical Portuguese municipal flag, with the coat of arms centred on a white and black quarterly (town rank) background.

The arms are Gules on a mound Vert emphasized Argent a castle Argent with port and windows Sable and on a chief Argent a leopard passant Gules spotted Sable holding a wreath proper. Mural crown argent with four visible towers (town rank) and white scroll reading in black upper case letters "VILA DE PENEDONO".
Meaning:
"Penedono" is a cognate of "penedo", "cliff" or "rock outcropping" or "crag", which may be depicted in the arms.

Penedono municipality had 3445 inhabitants in 2001 and consists of 7 communescommunes covering 132,70 km². It is part of Viseu District, traditional province Beira Alta, 1999 ref. adm. region Beira Litoral, current C.C.R. / NUTS II Norte, and NUTS III Douro.
